□ UAE, 각료회의를 통해 외국인 지분 보유 100% 허용 부문(Positive List) 발표

ㅇ 지난 7월 2일(화), 두바이 통치자이자 아랍에미리트 부통령 겸 총리인 셰이크 모하메드 빈 라시드 알-막툼은 각료회의를 통해 기존 외국인 지분 보유를 최대 49%로 제한하고 있던 122개 산업분야에 대해 100% 지분 보유를 허용하기로 결정

- 해당 회의에는 UAE 총리 외에도 셰이크 사이프 빈 자이드 알-나흐얀 UAE 부총리 겸 내무장관과 셰이크 만수르 빈 자이드 알-나흐얀 부총리 겸 대통령실 장관이 참가했으며 UAE에서는 이번 결정이 UAE의 성장환경을 조성하고 글로벌 투자 허브로써 UAE의 위상을 재확인하기 위한 것이라 밝힘.

- 앞서, UAE 정부는 2017년과 2018년을 거치며 외국인 지분보유 100%를 허용하기 위한 법적 토대를 마련한 바 있으며 외국인지분율 제한 완화 분야(Positive List)가 2019년 상반기 내 발표될 수 있음을 시사해 왔음.

ㅇ UAE 관영통신 WAM에 따르면, 이번 결정을 통해 13개 산업 부문의 122개 세부 분야에 대해 외국인 지분 100% 보유가 허용될 예정이며 재생에너지와 항공우주, 농업, 제조 등이 허용 부문에 포함된다고 함.

- 이번 결정으로 투자자들은 태양광 패널과 녹색기술, 하이브리드 발전 등 다양한 경제 분야에 대해 지분 확대가 가능할 것으로 예상됨.

- 이외에도 환대산업과 행정 서비스, 교육, 헬스케어, 예술, 엔터테인먼트 및 건설 부문에 대한 투자도 지분 제한 완화 대상에 포함됨.

- 특히, WAM 통신은 물류와 보관 부문에 대해 외국인 지분 제한이 완화됨으로써 투자자들이 e-커머스 운송과 공급체인, 의약품 유통 부문에서 프로젝트를 추진할 수 있게 됐다고 밝히며 과학·기술 분야도 지분제한 완화 대상에 포함됨에 따라 연구소나 실험실에도 외국인 투자자들의 지분 확대가 가능할 것이라 전함.

ㅇ 다만, 셰이크 모하메드 UAE 총리가 트위터를 통해 밝힌 바에 따르면 UAE의 각 토후 정부들이 지역별 실정에 맞춰 각 분야별 외국인 지분보유 가능 비율을 결정할 것으로 예상되며 정부 차원에서 외국인 지분보유 제한이 완화되더라도 일부 토후에서는 에미라티(현지인)의 최소 보유 지분을 유지할 수 있을 것으로 판단됨.

ㅇ 한편, 지난 2018년 11월 UAE 정부는 외국인 지분제한 완화 조치에 적용되지 않는 산업 부문의 리스트(Negative List) 또한 공개한 바 있으며 해당 리스트에는 오일·가스, 은행, 공익사업, 육·해상 교통, 전기통신(telecom), 약국을 포함한 의료품 소매 등이 포함됨.

□ 외국인 지분 보유 100% 허용 부문(Positive List) 발표에 따른 UAE 재계 반응

ㅇ UAE 최대 약국 체인을 보유한 Aster DM Healthcare의 아자드 무펜 회장은 이번 결정을 긍정적으로 평가하며 UAE 내 이민자 사회에서도 투자가 더욱 활성화 될 것으로 보고 신규 투자 유치도 활발해질 것이라 예상함

- 아자드 무펜 회장은 Aster의 주력 부문인 의약품 소매는 외국인 투자지분 완화 분야에 포함되지 않았음에도 불구하고 UAE 정부의 이번 결정을 반겼으며 UAE에 상당한 혜택이 돌아올 것이라 밝힘.

ㅇ UAE 대기업인 Nikai Group의 파라스 샤흐다드푸리 회장도 100% 외국자금이 투입되더라도 지분에 대해서는 49:51의 원칙을 준수해야 했던 현재까지의 상황을 언급하며 재계에서는 오랫동안 외국인 지분 보유 100% 허용 결정을 기다려왔다고 전함.

ㅇ 글로벌 로펌 Clyde & Co 는 이번 결정이 UAE로의 FDI 유입을 활성화시킬 것으로 예상하면서도 아직 시행 일정과 세부계획에 대해서는 구체적으로 발표된 바가 없음을 전하며 상세한 분석은 내놓지 않음.

□ 전문가 의견 : 알-타미미 하지원 변호사

ㅇ UAE 연방차원에서 구체적인 Positive List가 발표되어 개별 토후국 (Emirates)에 모두 적용할 수 있는 일관된 가이드라인이 만들어졌다는 점은 긍정적임.

- 실제로 작년 FDI 투자법이 발표된 이후, 현재까지는 오직 두바이 경제개발부에서만 신규법에 따른 100% 외국인소유 지원사례들이 있었고, 각 사례들 또한 개별적으로 검토가 이루어져 왔음.

- 다만, 기존의 Negative List와 이번에 발표된 Positive List에 속하지 않는 분야들의 경우, 이후에도 관련토후국 정부의 재량에 따라 개별적으로 처리될 전망.

ㅇ 지분제한 완화 분야와 함께 국내 기업들이 실제로 주목하고 있던 부분은 현지 투자를 위한 자본금 요건이었으나 발표된 최소 투자규모의 문턱이 높아 국내기업들은 단독 투자가 쉽지 않을 수 있음.

□ 시사점

ㅇ 외국인 투자지분 제한 완화 후 UAE로의 FDI 유입은 최대 15% 증가할 것이라 예상되는 가운데, 시장에서도 금번 결정에 긍정적인 반응이 이어지고 있음.

- 외국 자본의 유입이 용이해짐에 따라 UAE 시장으로 진출하는 신규 진입자들이 증가할 것으로 보이며 기존 기업들과의 경쟁이 활발해짐에 따라 시장 자체도 한층 성장할 것이라 예상됨.

- 다만, 내각 결의를 통해 외국인 지분 보유가 온전히 개방된 분야라도 실제 외국인 지분 최대 비율을 결정할 권한은 각 토후 정부에 있어 향후 토후 정부별 적용계획 등을 살펴볼 필요가 있음.

ㅇ 완전한 지분보유를 위해 적지 않은 비용을 소요하며 Free Zone 내 입주를 유지하던 외국 기업들은 이번 지분보유 제한 완화 대상이 공개됨에 따라 본토(Mainland) 이전을 적극적으로 검토할 수 있게 됐으며 활동 가능 영역이 넓어지며 비즈니스 활동이 활발해질 것이라 예상됨.

- 다만, E-Commerce와 같은 일부 분야를 제외하고는 대부분의 소매(Brick-and-mortar retail) 부문이 금번 지분제한 완화 대상에 포함되지 않았으며 기존 상업 에이전트 관련 법 (Agency Law) 또한 개정된 사항이 없어 현행과 같이 외국인 보유 가능 최대 지분은 49%로 유지될 예정임.
