필리핀 IPP(민자발전) 프로젝트 추진 동향

□ IPP(Independent Power Producer) 관련 법규와 제도

     

 ○ 전력산업개혁법(EPIRA, 2001): 전력산업 관련 기본 법률(The Electric Power Industry Reform Act or EPIRA 2001, 2001년 6월 발효, 2002년 2월 시행령 발효)

     

 ○ IPP 법규 및 제도

  - 필리핀 정부는 NPC(전력공사)의 과도한 부채 해결과 전력 요금 인하를 위해 이 법을 제정하여 전력산업의 민영화, 자유화를 추진 중임. 이를 위해 전력자산공사(Power Sector Asset and Liabilities Management Corporation, PSALM)를 설립하고 NPC 소유 발전소 및 NPC-IPP 계약건에 대한 민영화 작업을 추진 중임.

     

□ IPP 사업 프로젝트 추진 방법

     

 ○ 필리핀의 IPP 사업 참여 방법은 ➀ 신규 발전소 건설 운영, ➁ 민영화 대상 NPC 발전소(자산) 인수 및 신규 IPP로 지정받는 방법, ➂ NPC-IPP 계약건 인수 및 신규 IPPA가 되는 방법, ➃ NPC-SPUG(Small Power Utilities Group) 인수 방법 등 크게 네 가지로 구분할 수 있음.

  - 신규 발전소 건설 운영: 필리핀 내 발전소 건설은 EPIRA에 의거해 정부가 아닌 민간 주도로 이뤄지고 있음. 정부는 민간 발전소 제안 프로젝트를 검토 및 승인할 뿐이며 발전 대상 부지를 제시하거나 자체 예산을 투입하지 않음.

  - 민영화 대상 NPC 발전소(자산) 인수 및 신규 IPP로 지정받는 방법: EPIRA에 의거하여 전력공사(NPC 또는 Napcor)는 자산의 70% 매각과 NPC-IPP 계약건의 신규 IPPA(Independent Power Producer Administrator, 독립발전사업) 선정을 통한 민영화를 규정함. 이는 ‘Open Access 제도의 선제 요건’임

   * Open Access 제도는 최종소비자가 전력 공급사를 선택하는 제도로 전력가격의 인하가 목적임.

  - NPC-IPP 계약건 인수 및 신규 IPPA가 되는 방법: EPIRA는 전력공사 발전소 민영화와 함께 NPC-IPP Contracts(NPC와 계약 하에 생산 중인 발전소 운영 관리권)의 70% 이상을 신규 IPPA로 이관(전력 생산 기준, NPC-IPP 계약 종료 시 발전소 소유권도 IPPA로 이전)토록 규정함. 즉 기존 NPC-IPP 계약상의 NPC 권리와 의무(전력구매, 연료 공급 등)를 신규 IPPA로 넘기는 것으로 신규 IPPA가 NPC 역할(전력구매, 연료 공급 등)을 수행함.

  - NPC-SPUG(Small Power Utilities Group) 인수 방법: NPC-SPUG는 전력공사(NPC) 내 낙후지역(off-grid 도서지역 등)의 전기 공급(Missionary Electrification)을 위해 설립된 조직을 의미함. 이 조직과 프로그램은 국가 송전망(main grid)에 연결되지 않은 낙후 원거리 지역으로의 안정적인 전력 수급이 목표임.

     

□ IPP 관련 정부 인센티브 신청 가능 여부

     

 ○ 필리핀에서도 국가 인프라 핵심 분야인 전력산업은 투자 인센티브 수혜 대상 업종으로 분류함.

  - 투자 인센티브는 에너지부(DOE)의 승인을 거쳐 투자청(BOI)의 승인을 받으면 여부가 결정됨.

     

- BOI는 필리핀 종합투자법(the Omnibus Investments Code of 1987)에 의거해 매년 투자유치 우선분야(IPP, Investment Priority Plan, 인센티브 우선 부여 대상)를 발표하는데 에너지 및 전력 인프라 프로젝트는 투자유치 우선분야로 인센티브 부여 대상임.   - 2013년 IPP에는 Energy(This covers the exploration, development, and/or utilization of energy sources adopting environmentally-friendly technologies that comply with the Clean Air Act, the Environmental Impact System law, the Biofuels Act, where applicable, and other relevant environment laws. In the case of coal-fired projects, submission of ECC is a pre-registration requirement)가 인센티브 부여 대상으로 명시돼 있음.

 ○ 이외 재생에너지 활용 프로젝트에 대해서도 2008년 12월 제정된 재생에너지법(Renewable Energy Act of 2008, RA 9513)에 의거하여 추가적인 인센티브가 부여됨.

     

 ○ IPP 사업자의 인센티브 신청은 에너지부(DOE)의 IPO(Investment Promotion Office)와 협조해 투자청(BOI)에 신청서를 제출하게 되며 제출서류는 크게 회사 소개서(Company Profile)와 Project Profile임. Project Profile에는 재무제표, 프로젝트 비용 및 예상 전력가격, 적용 기술과 전력 생산 공정 등이 포함됨.

     

□ IPP 사업 추진 시 유의사항

     

 ○ 참가 자격(업종별 외국인 투자, 토지 소유 제한 및 유의점)

  - 필리핀은 업종별 외국인 지분율 제한 상한선을 ‘1991년 외국인투자법(Foreign Investment Act)' Negative List에서 발표하고 있음.

  - 이 리스트는 각종 사유에 따른 업종별 외국인 지분 상한선을 0%, 20%, 40%, 60% 이하 소유 가능 업종으로 구분 및 나열하고 있음.

  - 특히 공공 인프라(송전, 배전, 통신, 교통, 폐수처리) 업종의 외국인 지분 상한선은 40% 이하로 제한되어 있음. 단, 발전사업의 경우 외국인 100% 지분 소유가 가능하나 재생에너지 발전 사업의 경우에는 지분 소유율을 40% 미만으로 제한하고 있음.

   · FTAA(재정기술지원협약) 방식의 제열 에너지 프로젝트 등 일부는 예외 인정

  - 또한 토지의 경우 외국인은 사유지 소유를 불허하며 외국기업에 한해 40% 미만의 지분 소유를 인정함.

     

□ IPP 프로젝트 정보

□ 시사점

     

 ○ 현재 필리핀 내 한국 기업이 운영 및 운영 예정인 IPP 프로젝트로는 한국전력공사(KEPCO, 이하 한전)의 Ilijan 가스복합화력발전소(2022년까지 운영, 1200㎿ 규모)와 한국수자원공사(K-Water)의 Angat 수력발전소(계약 단계, 218㎿ 규모)가 있음.

  - 특히 한전의 필리핀 Ilijan 발전소는 한전 컨소시엄(지분율: 한전 51%, 미쓰비시 21%, TeaM Energy 20%, 구주전력 8%)이 1996년 12월 필리핀 전력공사로부터 국제 경쟁입찰을 통해 수주한 뒤 한국수출입은행의 지원 아래 미국 수출입은행과 일본 국제협력은행까지 끌어들여 자금을 조달한 사업으로 2002년 PF 자금을 조달한 이래 2014년에 수익금 전액을 상환함. 또한 운영기간인 2022년까지 발생하는 수익금 전액을 배당받게 되며 현재까지 누계 매출 1조6325억 원을 달성함.

     

 ○ IPP 사업은 전력단가가 높은 필리핀에서 중요 산업으로 분류되고 있으며 최근에는 산미겔, 아얄라 등 막강한 자본을 보유한 현지 대기업들의 참여가 눈에 띄게 증가하고 있음.

  - 필리핀 IPP 사업에 관심 있는 우리 기업들은 전력자산공사(PSALM)가 입찰 예정인 IPP 프로젝트 정보를 미리 파악하여 사업성 여부를 따진 후 참여 여부를 신중히 검토해야 할 것임.
